Terms and Conditions

      A) OVERVIEW:

1) This agreement to utilize the Pre Purchase Investigators, LLC/PrePurchaseInvestigators.com (PPI) Directory applies to both Users (CLIENTS) and Registered Investigators/Inspectors/Examiners (EXPERTS) in specific passages. Please read carefully. 

2) For EXPERTS:  Do not Apply or Agree to become an EXPERT in this PPI Directory without READING THESE TERMS AND CONDITIONS!  Submission of your Membership Application is considered your full understanding and acceptance of the PPI Terms and Conditions. 

3) For CLIENTS: You are welcome and free to browse the PPI Directory and the EXPERTS of each and every category. You do not need to Register or Log In in any way.  You will deal DIRECTLY with the EXPERTS in the Directory and YOU decide whether to hire them or not. You have no obligation to any EXPERT until you create an agreement with them. It is like any other deal you would privately create and you are legally bound to the obligations to which you and the EXPERT agree.  PPI has NO connection or obligation to either party or parties in any dealings here regarding the Pre Purchase Inspection of any item.  PPI makes no recommendations or claims of performance by anyone.  PPI has merely created the space for parties to find one another easily and to help do their DUE DILIGENCE on their own with the benefit of a One-Stop Location and the Ratings and Reviews for those Inspectors who have them.

4) WHAT IS AN “EXPERT”?    BE ADVISED that the term “EXPERT” here does not mean that those in the PPI Directory are infallible in their assessments or opinions of condition of the item to be purchased.  The EXPERTS in the directory have shown a qualified aptitude and skill level in one or more specialized or general fields. These EXPERTS are here to share that knowledge with CLIENTS to the best of their ability.  CLIENTS are required to perform their own Due Diligence when hiring any EXPERT for an opinion of condition. 

5) PPI is NOT HELD LIABLE:  PPI is a facilitator bringing two Parties (EXPERT and CLIENT) together in a CONTRACT of Offer and Acceptance for one Party’s offer of work/service and the other Party’s payment for the work/service through the use of PPI’s online, Directory website. PPI makes no claims of performance, personal recommendation, or guarantee for any EXPERTS listed in the Directory.  PPI can only affirm the statements and documentation provided by the EXPERT on the day they applied.  Further proof of the EXPERT’s performance will come through other Client Reviews and Ratings and the CLIENT’s DUE DILIGENCE in communicating with the EXPERT.  PPI is not a party to these contracts between the CLIENTS and the EXPERTS and does not participate in the process of the CLIENT choosing the EXPERT or the EXPERT’s work for the CLIENT other than providing means for access through Biographical links on the PPI website. PPI will not be liable in any way or for any costs whatsoever, legal or otherwise, for any other claim against PPI’s associated companies, officers, employees, agents, and successors for any disagreements, actions/inactions, omissions, or any claims of loss stemming from any transactions between CLIENTS and EXPERTS. 

5a) No Guarantees:   PPI offers no guarantees of performance. Any suggestions, help, or tips offered by PPI are for informational purposes only.

5b) Due Diligence:    All participants should do their own research and Due Diligence regarding the other party in their agreement including their knowledge and ability to assess the condition of the item to be purchased. 

6) Penalties for EXPERTS:   PPI reserves the right to close any EXPERT’s account without notice or refund if confirmed reports of dishonesty or malfeasance in business dealings are discovered here.

      B) AGREEMENT TO TERMS AND CONDITIONS:

1)  For CLIENTS:   There is no Registration, Log In, or tracking of your use of the PPI site, but your use of the site and hiring of EXPERTS herein is at your own risk.  PPI is not liable for any disagreements or claims of loss or damage from the use of this Directory and/or the hiring of any EXPERT within this Directory. 

2)  For EXPERTS:   You MUST APPLY and await APPROVAL before you are granted access in the PPI Directory.  By applying and if accepted, you are bound by the Terms and Conditions listed here and agree to be honest and forthright in your business dealings with Clients.  

3)  For CLIENTS and EXPERTS:   Any instructions or warnings included WITHIN the Website pages are not to contradict anything here in the Terms and Conditions, but they are meant to be inclusive in the Terms and Conditions.

4)  Not Employees:   It is understood that EXPERTS in the PPI Directory are not employees nor in any way representatives of PPI and that all EXPERTS here are Independent Contractors operating autonomously. 

      C) CONTRACTUAL AGREEMENT / LIMITATION OF LIABILITY / CHOICE OF LAW / DISPUTES:

1)  For CLIENTS and EXPERTS:      By using the PPI Directory to hire an EXPERT listed herein or by being an EXPERT herein entering into a contract with a CLIENT, you REPRESENT and AGREE to the following:

      a. You are of LEGAL AGE and of MENTAL CAPACITY to enter into a Binding Legal Contract.

      b. You agree to be financially responsible for all Legally Accepted Offers.

      c. You agree to all of the Terms and Conditions included in this Entire Terms and Conditions page for PPI.

      d. You have provided True and Accurate information regarding your Name, Age, Address, Contact information, Financial information, and Representations of your Qualifications. 

      e.  CLIENTS have contacted the Seller of the Item to be inspected and have gained Seller’s Permission and Approval for the EXPERT to arrive and perform the inspection.  CLIENT will pay EXPERT for a wasted trip where the item to be inspected was not accessible, available, was sold, or was not found due to wrong directions.

       f. Any and All Disputes that may involve PPI will be settled in the State of Texas and be covered under Texas Law.  Mediation will be the means of settlement. 

       g. Any Disputes between the CLIENT and the EXPERT are first to be resolved between the two parties before becoming a legal matter.  If a legal suit is to be claimed, the two parties should first attempt mediation in a mutually agreeable location/jurisdiction or through an online conference before tying up the Judicial System with a court case and associated costs.  

        h. As per Section A-5 above, You hold PPI harmless from all legal claims of financial or personal injury in the transaction of sale, attempted sale, or physical injury before, during, or after any item inspections performed or failure to be performed as agreed upon between CLIENTS and EXPERTS here.

      D) PAYMENTS:

1) EXPERTS will pay ONE PAYMENT ANNUALLY to PPI for yearly access to the Directory.  There are no other fees or percentages of work performed or ANYTHING else.  There is NO Automatic Renewal at this time.  You will be emailed a reminder when your annual expiration date is near. You can choose to renew at that time. 

2)  PPI will advertise the Directory nationally with great zeal to allow many Users to become CLIENTS for EXPERTS here and help them Not Get Ripped Off on purchases. PPI can not guarantee any numbers of leads, quality of leads, or financial outcome in any way for Experts on the PPI Directory.

3)  Users/CLIENTS do not pay any fees or even need to Register on the PPI Directory.  CLIENTS only pay the EXPERTS they choose to hire for a Pre Purchase Investigation.  All agreements and payments for services are made directly between the CLIENT and the EXPERT.

4)  Cancellation: Experts may cancel your membership and remove their Bios and all information from the PPI Directory at any time. If cancelled with 6 months or more left before your annual expiration, you will be entitled to a refund of 1/2 of the annual fee you paid.  No refunds if cancelling within 6 months of membership expiration.

      E) CLIENT’S RESPONSIBILITY WHEN HIRING AN EXPERT:

1)  CLIENTS are required to gather all information possible to be satisfied enough to hire an EXPERT to give an opinion on the item to be purchased.  It is suggested the CLIENT utilize any reviews found from online sources or in the PPI Directory from past PPI CLIENTS who have interacted with the EXPERT in question. 

2)   CLIENTS MUST CONTACT the Seller of the Item to be inspected and gain the Seller’s Permission and Approval for the EXPERT to arrive and perform the inspection. 

2a)   CLIENT will pay EXPERT the Expert’s set hourly rate for a wasted trip where the item to be inspected was not accessible, available, was sold, or was not found due to wrong directions.

3)  CLIENTS must have Reasonable Expectations.  Machines, Houses, and especially Horses can change in conditions day to day.  One Expert’s opinion can not be considered to be the status from that day forward.  Metal and Wood fail. Horses get injured and sick.  The best any EXPERT can tell you is their opinion of condition at that moment.  Some failings may be hidden or disguised well enough to be missed by a trained eye. EXPERTS are human and the best they can do is to PROMISE to carefully and diligently utilize their years of experience to honestly assess the conditions. 

      F) WE MAY USE YOUR MEDIA AND AD/Granting of License:

1)  EXPERTS agree that PPI may use your media (photos and video), Logo, Images, Website, Reviews, Voice and Likeness (when applicable) as a good example, cover photo, or other positive advertisements.  All of your copyrights, trademarks, Intellectual Works will be attributed to you. If a third party advertiser, interviewer, media outlet, or such fails to attribute your Copyrights, Trademarks, or Intellectual Property to you, you will hold PPI entirely harmless.  PPI will make every effort to avoid such an event, but PPI can not control the decisions and actions of outside parties.

2)  PPI will not use any photos in our portion of the website with children who appear to be under age 16 without express, written permission of the parent/guardian.   

      G) INDEMNITY / SEVERABILITY

1)  You agree to indemnify and hold PPI  harmless from any prospective claims made by any third-party arising out of or relating to any breach of these Terms and Conditions or your violation of any law or the rights of any third-party.

2)  Any provision of this Agreement, which is deemed invalid, illegal, or unenforceable in any jurisdiction will not affect the remaining provisions in that jurisdiction or render that or any other provision of this Agreement invalid, illegal, or unenforceable in any other jurisdiction.

3)  Information, instructions, and directions within the PPI website are considered Inclusive Additional Terms and Conditions and are meant to enhance these Terms and Conditions, not to supersede or contradict them.

      H) Privacy (see more details on our Privacy Policy page)

1)  All EXPERT’s information (that is NOT publicly visible) collected by PrePurchaseInvestigators.com (PPI) or Pre Purchase Investigators, LLC (PPI) is private and used for Registrant Profile only and will not be sold or disseminated to unrelated third parties.

2)  EXPERTS will NOT use CLIENT’S information for the purposes of spamming or sending future emails, advertisements, texts, or any other contact UNLESS permission is granted by the CLIENT and the CLIENT can easily Opt-Out of these solicitations or messages.

3)  NO information is collected on CLIENTS by PPI unless a client chooses to contact PPI directly by email, phone, text, letter, or other means.  Any information that is collected will not be sold or disseminated to unrelated third parties.
